Tony is a business and tax lawyer. His work involves transactional matters including the formation of corporations and limited liability companies, mergers and acquisitions and general business and tax planning.

He has been active in the developing field of “conversions” whereby California and out of state general and limited partnerships are converted into limited liability companies resulting in increased asset protection but without unfavorable income and property tax consequences. Since many lenders now require the use of “single purpose entities” in connection with the financing of real estate projects, he also is involved in the formation of Delaware and other out of state limited liability companies.

His practice with regard to limited liability companies includes the transfer of membership interests among family members at discounted valuations for gift tax purposes.

His tax practice includes general tax planning and representation before the Internal Revenue Service and Franchise Tax Board. He represents clients before the Board of Equalization with regard to sales tax matters including out of state and offshore transfers of aircraft and vessels.

In connection with his tax practice he is active in the preparation of wills and trusts and the administration of trusts and as counsel to trustees as well as the preparation of estate tax returns and representation before the Internal Revenue service with regard to these returns.

Tony was born in Gettysburg, Pennsylvania and is a graduate of Phillips Academy Andover Massachusetts, Stanford University, the University of Kentucky School of Law and New York University Graduate School of Law where he received a Master's Degree in Taxation. He is a Certified Specialist in Taxation by the California State Board of Legal Specialization. He has been a frequent lecturer and author.
